1. Acceptance of Terms

By accessing or using the Services you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy and Cookie Policy. If you do not agree, do not use the Services.

2. Description of the Service

Quicky Prime provides custom AI agents for WhatsApp, voice calls, reservations, order confirmations, customer support and related business workflows. The Services may include software, dashboards, APIs, hosted infrastructure, integrations with third-party platforms, and professional services.

3. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to use the Services to:

• Send spam, unsolicited bulk messages, or content that violates WhatsApp, Meta or telecom platform policies.
• Impersonate any person or entity, or misrepresent your affiliation with anyone.
• Distribute malware, attempt to gain unauthorized access, or interfere with the integrity of the Services.
• Process personal data without a lawful basis or appropriate notice to the data subjects.
• Violate any applicable law, regulation, or third-party right.

We may suspend or terminate accounts that violate these rules without notice.

5. Customer Content & Data

You retain all rights to the content, messages, and data you submit to the Services ("Customer Content"). You grant us a limited, worldwide, non-exclusive license to host, process and transmit Customer Content solely to provide and improve the Services. You are responsible for the legality of Customer Content and for obtaining all required consents from your end-users.

6. AI Agents & Third-Party Integrations

Our AI agents may rely on third-party providers (e.g. WhatsApp Business API, voice telephony providers, large language model providers, payment processors). Your use of those integrations is also subject to the third party's terms. AI outputs may contain errors; you are responsible for reviewing critical outputs before relying on them.

7. Fees & Subscription

Some Services are offered on a paid or subscription basis. Fees, billing cycle and usage limits are described in the order form or pricing page applicable to your plan. Unless stated otherwise, fees are non-refundable and exclude applicable taxes.

8. Intellectual Property

The Services, including all software, designs, logos, and documentation, are owned by Quicky Prime or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to access and use the Services in accordance with these Terms.

9. Service Availability & Changes

We strive to keep the Services available but do not guarantee uninterrupted access. We may modify, suspend or discontinue features at any time. We will provide reasonable advance notice of material adverse changes affecting paid customers.

10. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Quicky Prime will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill arising out of your use of the Services. Our aggregate liability for any claim related to the Services will not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Quicky Prime and its officers, employees and agents from any claims, damages or expenses arising from your Customer Content, your use of the Services, or your violation of these Terms.

13. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms or if required by law. Sections that by their nature should survive termination will survive (including IP, disclaimers, liability, indemnification and governing law).

14. Governing Law

These Terms are governed by the laws applicable to Quicky Prime's place of establishment, without regard to conflict-of-law rules. Any dispute will be brought before the competent courts of that jurisdiction, unless mandatory consumer law requires otherwise.

15. Changes to These Terms

We may update these Terms from time to time. We will indicate the date of the last revision at the top of this page and, where required, notify you in advance. Continued use of the Services after changes take effect constitutes acceptance.
